Board Member’s Code

(Adopted by Board 20 August 2012)

✦ I will respect and uphold the Objects of Stroud Heritage Conservation Incorporated and its constitution.

✦ I will be an active Board Member, making my skills, experience and knowledge available and seeking to do what additional work I can outside Board meetings, including sitting on sub- committees.

✦ I will respect organisational, Board and individual confidentiality, while never using confidentiality a an excuse not to disclose matters that should be transparent and open.

✦ I will use the Trust’s resources responsibly including the claiming of expenses.

✦ I will not gain materially or financially from my involvement unless specifically authorised to do so by a unanimous decision of the Board.

✦ Unless authorised by a unanimous decision of the Board, I will not put myself in a position where my personal interests create a potential conflict of interest with my duty to the Trust.

✦ I will prepare fully for all meetings and for all work undertaken by me for the Trust.

✦ I will use my best endeavour to attend all meetings, and note the constitutional provision that I may be disqualified if absent without apology from more than two consecutive Board meetings or more than three Board meetings between each Annual General Meeting.

✦ I will participate in collective decision making, accept a majority decision of the Board, recognise my responsibility to support the Chair and will not act individually unless specifically authorised to do so.

✦ I will endeavour to work considerately of, and respectfully to all those I come into contact with in relation to the Trust and will respect diversity, different roles and the importance of avoiding giving offence.

✦ I will not make public comments about the Trust unless authorised to do so. Any public comments I make that concern the Trust will be considered and in line with Board policy, whether I make them as an individual or as a Board Member.
